Reseller Program Terms and Conditions

Introduction

 
These Reseller Program Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“Reseller”) and LinkHMS, a proprietary healthcare software solution owned and operated by Existek Systems SRL. By registering for the LinkHMS Reseller Program and accessing the Partner Portal, you agree to be bound by these terms.

Acceptance and Eligibility

 
  • Only applicants who have submitted a reseller application and have been approved by LinkHMS may participate in the Reseller Program.
  • Registration at the LinkHMS Partner Portal constitutes full acceptance of this Agreement.

Non-Exclusive Right to Resell

 
  • Upon acceptance, Reseller is granted a non-exclusive, non-transferable, revocable right to market and resell LinkHMS licenses to end customers.
  • Resellers may operate globally, excluding the following regions: European Union, Cuba, Ukraine, the Russian Federation, China, Iran, North Korea, the United States of America, Canada, and Australia.

Discount and Earnings

 
  • LinkHMS shall define a personal discount rate for each Reseller during the application process or through further negotiation.
  • This discount constitutes the Reseller’s sole financial incentive and profit margin.
  • LinkHMS reserves the right to change a Reseller’s discount with a minimum of 10 business days’ notice, provided via email to the registered address.

Payments and Transactions

 
  • Resellers are solely responsible for collecting payment from their end customers using any lawful means.
  • LinkHMS is not involved in, nor provides support for, the transaction processes between Resellers and their customers.
  • All payments to LinkHMS must be made via the LinkHMS reseller portal located at https://partner.linkhms.com via built-in billing (Stripe) using a credit card or digital wallet, unless special terms are pre-approved in writing.
  • Resellers may request special payment terms, which LinkHMS reserves the right to approve or reject at its sole discretion.
  • Resellers may not sell LinkHMS licenses to end customers at prices lower than those listed on our pricing page.
  • Resellers are free to set pricing for their end users above the standard LinkHMS pricing at their discretion. LinkHMS does not impose a maximum resale price and shall not interfere with such pricing strategies, as long as clause 4.5 is not violated.

Branding, Marketing, and Representation

 
  • LinkHMS retains all rights, title, and interest in and to the LinkHMS platform and associated intellectual property.
  • Resellers may not attempt to modify, reverse-engineer, or replicate the LinkHMS application or official marketing materials.
  • Resellers may create independent marketing materials, provided such content does not misrepresent or harm the reputation of LinkHMS.
  • LinkHMS reserves the right to request modification or removal of reseller-created marketing content. The Reseller must comply within 10 business days. Non-compliance will result in termination from the program.
  • Resellers act on behalf of LinkHMS in good faith and are expected to maintain the brand’s professional image.
  • Resellers are entitled to access the Partner Marketing Kit, learning materials, and up to two (2) hours of onboarding training.
  • Resellers are obligated to complete onboarding training in good faith to ensure they can competently introduce end users to LinkHMS, thereby promoting their long-term engagement.
  • The Reseller must ensure that all advertising, marketing communications, and promotional materials accurately represent the LinkHMS product and its functionality. Any form of misleading, exaggerated, or false claims—intentional or otherwise—made in the course of sales or promotion may result in the immediate termination of the Reseller’s license and access to the Reseller Portal.

White Label Policy

 
  • LinkHMS permits white-label sales; however, LinkHMS is not obligated to modify any part of the product to fulfill resellers’ needs, including changing the LinkHMS name, logo, domain, design, or any other aspect of the product or its marketing.

Reseller Obligations

 
  • Resellers must ensure timely payments to LinkHMS for license purchases.
  • The Reseller’s failure to pay one of the automatically generated invoices from LinkHMS grants LinkHMS the right to terminate the Reseller’s account and migrate associated end-user accounts under LinkHMS’s direct management.
  • Accounts with no active subscriptions or new sales activity for a continuous period of 3 calendar months may be deactivated at LinkHMS’ discretion.
  • The Reseller Portal is a web-based platform located at https://partner.linkhms.com/ that is provided and managed by LinkHMS to allow Resellers to invite, manage, and maintain customer accounts.

Support and Customer Relationship Management

 
  • LinkHMS remains the sole provider of support services to end users via support@linkhms.com and the built-in in-app chat.
  • The LinkHMS team commits to acting in good faith and will not incentivise or attempt to move Resellers’ end users into LinkHMS directly managed accounts.
  • In the event LinkHMS believes that a Reseller is acting in bad faith or exploiting the program, it reserves the right to terminate the Reseller’s access to the Partner Portal with 5 business days’ written prior notice via email sent to the email address that the Reseller provided for registration at the Partner Portal.
  • Upon termination, LinkHMS may migrate the Reseller’s customer accounts to LinkHMS’ general account, with 30 calendar days’ notice to ensure service continuity.
  • The Reseller may offer and sell additional services, including but not limited to support, onboarding, or training, to their end users under separate commercial terms. The Reseller is solely responsible for negotiating, delivering, and managing such services. LinkHMS bears no responsibility and shall not be held liable for the quality, outcomes, or obligations arising from such independently offered services or agreements.

Termination

 
  • Either party may terminate this Agreement at any time upon written notice.
  • Upon termination, the Reseller’s access to the Partner Portal will be revoked, and rights to resell the LinkHMS product will cease.

Limitation of Liability

 
  • LinkHMS shall not be liable for any indirect, incidental, or consequential damages arising from participation in this program.

Modification of Terms

 
  • LinkHMS may modify these Terms at any time. Notice will be provided via email and/or through the Partner Portal. Continued participation after changes constitutes acceptance.

Governing Law

 
  • This Agreement shall be governed by and construed in accordance with the laws of Romania.

Final Note

 
By participating in the LinkHMS Reseller Program, you confirm that you have read, understood, and agreed to these Terms and Conditions in full.
